CO980DEC - Statutory declaration relating to a notice to non-assenting shareholders

Companies House has notified us of changes to existing statutory forms CO429(4), CO429DEC and CO430A which will be replaced by forms CO980(1), CO980DEC and CO984.

These amendments flow from the repeal of sections 323 to 329 of the Companies Act 1985 by the second commencement order under the Companies Act 2006 which will come into force on 6th April.

Company law practitioners should not submit CO980(1), CO980DEC and CO984 before 6th April and should not file the old forms CO429(4), CO429DEC and CO430A after 6th April.

Some directors will no longer be required to provide details of their interests in shares or debentures of a company or its group. Companies House will not accept Companies forms CO325 or CO325A on or after 6th April. We therefore recommend that you delete CO325, CO325A along with CO429(4), CO429DEC and CO430A from your system(s).

A minor field alteration has also been made to CO10 which is available for immediate use.
