The Companies Act 2006 (Amendment of Part 25) Regulations 2013 will replace Part 25 of the Companies Act 2006 on 6th April 2013.

The purpose of these Regulations is to implement Companies House's policy of creating one scheme for the registration, satisfaction or alteration of company charges irrespective of the place of incorporation of the company.

This means that in future there will no longer be separate filing requirements for charges created over companies registered in Scotland.

Companies House has designed new forms (MR01-MR10) for companies which will replace the existing mortgage forms MG01s-MG08s. For the first time, there will be separate forms for registration of a charge which is created by an instrument and those charges where there is no instrument.

However, existing forms MG01s, MG06s, MG07s and MG08s should continue to be used where a Scottish charge was created before 6th April but MG02s, MG03s, MG04s and MG05s cannot be used in any circumstances after 6th April.

Subscribers to this range should therefore use the new Companies House forms MR01-MR10 for charges created on or after 6th April which can be located within the Company range of forms.
