From 6th April, Part 12 of the Companies Act 2006 will make it optional for private companies to appoint a company secretary. However, this requirement will remain compulsory for public companies.

We have amended the Articles of Association of Companies forms CO1B and CO3C to reflect these new provisions. Company form CO1A does not require amendment.

Companies House has amended CO43(3) and CO117 to reflect other provisions of the 2006 Companies Act which also come into force on 6th April.

From 6th April, applications submitted on CO43(3) should indicate whether a company satisfies the authorised minimum capital requirements in euros (€65,600).

Applications submitted on form CO117 for a trading certificate which is made on or after 6th April 2008 do not need to include a statutory declaration.

Companies House has produced two versions of CO117 which depend on whether the authorised minimum requirement is in sterling (Ł50,000) or in euros (€65,600).

The version of CO117 which we are publishing is for sterling transactions only.

All forms can be used immediately.
